Gaudio & Chattables – Terms and Conditions
Version 1.1 – Effective as of March, 2025

These Terms and Conditions ("Terms") govern the use of all services, products, and platforms provided by Mindmode GmbH, Schillerstrasse 33, 6440 Brunnen, Switzerland ("we," "us," or "Gaudio/Chattables"). This includes:

• The Gaudio digital platform, including website, app, content, and in-app features

• The Chattables physical product (interactive magnets with QR codes)

By using our services, you agree to these Terms in full. If you do not agree, please refrain from using our products and services.

 

1. Service Description

1.1 Gaudio Experience

Gaudio provides an app-based platform for AI-powered cultural experiences, including personalized audio guides, custom avatars, and interactive content.

1.2 Chattables

Chattables are physical magnets that link to digital, conversational interfaces via QR codes. These interactions are powered by conversational AI.

We reserve the right to change, expand, or discontinue features at any time without prior notice.

2. User Account

To access Gaudio or certain Chattables features, you may be required to create a user account. You agree to:

• Provide accurate and up-to-date information

• Keep your login credentials confidential

• Take responsibility for all activities under your account

We may suspend or delete accounts for violations of these Terms.

3. Age Requirements

Our services are intended for users aged 16 and older. If you are under 16, you may only use our services with the verified consent of a parent or guardian. Children under 13 may not use our services under any circumstances without verifiable parental consent.

4. Content Sharing & Rights

By sharing content (e.g., reviews, images, texts) through our platform, you grant us a:

• Worldwide, perpetual, royalty-free license to use, reproduce, distribute, and modify your content

You retain ownership of your content. You confirm that you hold all necessary rights and that your content does not violate the rights of others. Publicly shared content is not treated as confidential.

5. Content Guidelines & Moderation

You may not share content that:

• Is unlawful, offensive, harassing, or promotes violence

• Violates our Community Guidelines

• Infringes on third-party rights

We reserve the right to remove content at our discretion. You will be notified of any removal with an explanation and appeal process, where applicable.

6. Chattables – Product Liability & Safety

Chattables are interactive magnets that provide access to AI-powered conversations. While carefully designed, we assume no liability for:

• Improper use, repurposing, or physical modification

• Damages caused by ingestion or unsafe handling

• Technical incompatibility with devices or browsers

Chattables are not suitable for children under 3 years old (choking hazard). Parental supervision is required.

7. App Use & Licensing

By using our app, we grant you a non-transferable, revocable license for personal use only. You may not:

• Reverse engineer or decompile the app

• Alter, redistribute, or resell the app

All rights to the app’s code, design, and content remain with us or our licensors.

8. App Stores

If you download the app via the Apple App Store or Google Play, you agree to their respective terms. Apple and Google are not parties to these Terms. In the event of issues, contact us or request refunds (where applicable) via the app store provider.

9. Purchases, Subscriptions & Refunds

9.1 In-App Purchases & Virtual Content

• Prices are subject to change

• Virtual items have no real-world value and are non-transferable

• Subscriptions auto-renew unless canceled

9.2 Payment Processing

All payments are handled by third-party processors (e.g., Stripe, Apple Pay). We share only the necessary information and are not liable for technical or contractual issues arising from these providers.

9.3 Refund Policy

All payments are non-refundable, unless otherwise granted on a case-by-case basis. Granting a refund once does notconstitute a recurring right.

10. External Content & Advertising

Our platform may include third-party ads and links. We accept no responsibility for external content, services, or privacy practices. You use them at your own risk.

11. Disclaimer of Warranties

Our services are provided "as is" and "as available". We make no guarantees regarding uninterrupted service, feature availability, or error-free operation.

We disclaim all warranties to the extent permitted by law, including:

• Fitness for a particular purpose

• Non-infringement

• Accuracy or reliability of content

12. Limitation of Liability

Our total liability is limited to the amount you paid for our services in the past 12 months. We are not liable for:

• Lost profits or data

• Indirect or consequential damages

• Software or device failures on your end

This applies to our employees, partners, and contractors as well.

13. Account Termination

You may delete your account anytime:

1. Log in to your Gaudio account

2. Go to settings

3. Select “Delete Account” and confirm

Your data will be permanently deleted. Restoration is not guaranteed. We may delete or suspend accounts for violations or inactivity.

14. Intellectual Property

All content (text, audio, layout, design) belongs to Gaudio or licensed third parties. You may not copy, alter, or use any content commercially without written permission.

Automated scraping or data extraction is prohibited.

15. Trademarks

"Gaudio", "Chattables", and related logos and marks are registered or unregistered trademarks of Mindmode GmbH. You may not use our trademarks without explicit permission.

16. Privacy Policy

Your use of our services is also governed by our Privacy Policy. By using our services, you acknowledge and accept its terms.

17. Communications

By using our services, you agree to receive emails, messages, and in-app notices. You can manage communication preferences in your account settings.

18. Promotions & Free Trials

Any promotional offers are subject to the following terms:

• One-time use per user

• Non-transferable, unless stated otherwise

• Auto-renewal of subscriptions after trial (with notice)

• Gaudio may modify or cancel promotions at any time

19. Copyright Infringement

To report a copyright violation, send notice to:

• A statement under penalty of perjury asserting your rights

20. Governing Law & Jurisdiction

These Terms are governed by Swiss law, excluding the CISG. Legal venue is Brunnen, Switzerland. EU residents may have additional consumer rights under EU law.

21. Dispute Resolution

Disputes shall be resolved under the Swiss Rules of International Arbitration in Zurich, in English, by a single arbitrator.

​

22. Severability

If any part of these Terms is deemed unenforceable, the remainder remains in effect. The invalid clause will be replaced by a legally valid alternative that comes closest to the original purpose.

23. Language & Interpretation

These Terms were originally written in English. In the event of discrepancies, the English version shall prevail.
